By checking the box while signing up to be a Local Chapter Leader (hereafter ‘Local Chapter Leader’, ‘LCL’, ‘Club Leader’) and to start a Local Chapter (hereafter ‘Local Chapter’, ‘Local Club’, ‘your Club’) with The Global Expeditions Club (hereafter ‘Global Expeditions Club, ‘The Global Expeditions Club’, ‘GEC’, ‘The GEC’, ‘GEC’s’, ‘the club’, ‘we’, ‘our’, ‘us’, ‘club directors’, ‘GEC directors’), you (hereafter 'you', 'your') willingly agree to enter into this contractual agreement and hereby fully accept GEC’s Terms and Conditions set out herein. By checking the box on the sign up page, you agree that you have carefully read, fully understand and fully and willingly accept these Terms and Conditions as set out herein. Age You certify that you are of at least 18 years old on the day that you signed up to become a LCL and entered into this agreement. Validity These Terms and Conditions are valid for any and all actions related to the organizing, selling or otherwise profiting from travel related services, both internationally and domestically, both during the period that this contractual agreement is in effect and after it is terminated as stated in the Non-Compete section herein. These Terms and Conditions supersede and replace any previously published Terms and Conditions whether oral, posted on our website or published in any fashion or manner. You acknowledge that these terms and conditions apply to all interaction between you and the GEC, you and the GEC Directors, you and the GEC members, you and any individuals or groups contacted under the GEC name, as well as between you and any of our guides, adventure guides, local agents, affiliates, owners, officers, agents, employees, tour operators, contractors and subcontractors (hereafter collectively called our 'agents'). Purpose of This Agreement The purpose of this agreement is to establish and agree to your roles, responsibilities, limitations and liabilities as a LCL, as well as that of the GEC. Type of Relationship By agreeing to become a LCL, you agree that you are our independent contractor and have no direct affiliation with the GEC. Nothing contained in this contract shall be construed to create a partnership, joint venture, franchise, sales representative, or employer-employee relationship between you and us. You shall be free to exercise independent judgment as to the time and manner you may perform the acts you are authorized to perform under this contract. You agree that you are fully responsible for all of your own expenses and, should you be eligible to and choose to, applying these expenses against any tax liability you may incur. You agree that you are fully responsible for obtaining appropriate tax consul and any related expenses and that the GEC will only provide what is required by tax law to provide. You agree that you are liable for calculating, reporting and paying any and all city, state, federal and other tax consequences that may result from receiving travel credits and/or other payments received from the GEC as a result of your selling travel on our behalf. You also agree that, as an independent contractor, the GEC is not liable for nor required to provide any types of benefits above and beyond payment for selling travel on our behalf, as outlined in the travel credits section of these terms and conditions. You agree that the GEC is making a non-exclusive appointment and you hereby accept such appointment and agree to use your best efforts to exclusively market and sell GEC’s services. You acknowledge and accept that GEC will appoint other Local Chapter Leaders in other cities and countries, and may even appoint Local Chapter Leaders in your local area, both in direct and indirect competition with you. Sole Responsibility and Goal of the LCL The GEC is one thing only, an adventure travel club. You agree that your only objective as a LCL is to exclusively sell GEC approved club tours. You agree that the GEC is, at its own up front cost expense and of no charge to you, providing you with all of the necessary marketing and advertising materials, procedures, website space, advertising on the internet, and advice, to help you accomplish this objective, and as such you agree that you will act solely and exclusively on the GEC’s behalf, both during your time as a LCL, as well as after you relinquish the position as LCL or are removed from this role, as defined in the non-compete section of these terms and conditions. Furthermore, you agree that you will not, in any way, shape or fashion, offer, sell or profit from, including free or discounted travel, any trip, tour or any other travel related activity, any person or member related to the GEC or in any way marketed to the GEC using the GEC name and/or marketing materials or methods supplied by the GEC. You also agree that you will not, in any way, suggest, imply or otherwise advise any GEC member or potential member to purchase any kind of travel outside of the GEC. The GEC maintains relationships with and earns commissions from tour operator and travel service providers far beyond the tours and types of tours offered on the website, including both adventure and non-adventure related travel services, both domestically and internationally. These commissions are used to run the club, pay for website hosting, enhancements and maintenance, pay for advertising and marketing material provided to you, pay for mailing costs, pay for LCL travel credits, pay for internet advertising, pay for public relations, etc. You agree to be the sole agent for the GEC and as such you agree that all members and potential members you encounter while representing the GEC who are looking for any kind of travel arrangement, whether the GEC outwardly offers the desired product/service or not, will be directed to the GEC directors. You agree that by directing GEC members away from the GEC for any travel purchases, whether you profit or not, is a direct breach of this contract and a direct financial detriment to the GEC, and thus you agree to personally make the GEC financially whole. Non-Compete Agreement By checking the box upon signing up to be a LCL, you acknowledge and agree that the GEC is providing to you, at its own upfront cost and of no charge to you, free advertising, promotional and marketing material, dedicated website space on the GEC website, advertising on the internet, as well as policies, procedures, advice and other marketing services for purposes of promoting your Local Chapter and recruiting members to your Local Chapter. You agree that the sole and ultimate goal of your role, as supported by said materials, services and advice provided by the GEC, is to solely sell travel and other related services offered by or sold by the GEC, including group tours offered on the GEC website, as well as all other adventure and non-adventure related travel services both domestically and internationally. As such, you agree to be the sole agent for the GEC and you agree that all members and potential members you encounter while representing the GEC who are looking for any kind of travel arrangement, whether the GEC outwardly offers the desired product/service or not, will be directed to the GEC directors. You agree that by directing GEC members away from the GEC for any travel purchases, whether you profit or not, is a direct breach of this contract and a direct financial detriment to the GEC, and thus you agree to personally make the GEC financially whole. You agree to abide to these terms and conditions from the moment you are accepted by the club as a LCL until 2 full years from the date that you either relinquish your role as LCL or you are voluntarily or involuntarily removed from the role by the GEC. You agree that during a full two (2) year period, starting from the date you relinquish your LCL role or are voluntarily or involuntarily removed from your LCL role, you will not, in any way, shape or form copy or emulate the GEC’s trade marked and copywrited business, advertising, marketing or services, nor will you compete, directly or indirectly, with the GEC for any travel services, both domestically and internationally, and adventure and non-adventure travel. You agree that all members and non-members, and their related contact information, who have been solicited to using any GEC marketing or advertising material are the sole property of the GEC. You agree that you will not knowingly solicit, advertise, market to or approach these members for purposes of selling or marketing travel or in any way influencing their travel decisions. You agree that should any said member(s) or potential member(s) approach you for any travel related services, either during your time as a LCL or for the 2 years following your last day as a LCL, you will direct said person(s) to the GEC and you agree that you will not, in any way, interfere with or adversely influence the relationship between the GEC and said members at any time. You also agree that you will not in any way, shape or form commit defamation of GEC’s character or reputation through libel, whether implied or stated directly to any members, potential members, media, peers, GEC agents or any other person or 3rd party. You agree that the above restriction is practical and equitable as to culpability, reasonability, duration and liability. Travel Credits The sole and ultimate goal of Local Chapter Leaders is to sell travel and other related services offered by the GEC. As such, the GEC will, at its discretion, compensate Local Chapter Leaders by issuing Club Travel Credits (herein ‘club travel credits’, ‘travel credits’, ‘credits’). The determining factors of whether credits will be paid to the LCL or not, and the resulting amount of credits earned should they be paid, will vary by instance and will depend on the profitability and net revenue of each trip. The amount and/or percentage of credits to be paid will be determined before each trip is offered and is available to all Local Chapter Leaders upon request. Credits earned will be directly related to the number of GEC members within the Local Chapter Leader’s Local Chapter (as solely determined by the GEC directors) that purchase GEC club trips that qualify for earned credits. Credits are only earned on trips that are paid in full. Credits are placed in the LCL account at the conclusion of the trip being credited for or at the GEC directors discretion. Credits are only redeemable once credits are in account. 1 credit equals US$1.00 that can only be redeemed for current or future club trips. Credits have NO cash value and expire 2 years from date of issue without any value. Credits are forfeited immediately if you voluntarily relinquish your LCL role or are involuntary removed as a LCL or from the club. Credits are earned on Land Prices only (not including domestic or international airfare, local payments, single supplements, permit costs, etc). Credits can be used by the Local Chapter Leader toward the land price, airfare, extras, etc of any GEC club tour, providing there is availability left on a particular tour. Local Chapter Leaders are responsible for and personally liable for calculating, reporting and paying any and all city, state, federal and other tax consequences that may result from receiving travel credits and/or other payments received from the GEC as a result of your selling travel on our behalf. Credits are transferable with GEC approval and may incur a transfer cost which can be paid in cash or credits. Ownership of Member Information The GEC provides you with free advertising, promotional and marketing material, as well as policies, procedures and advice for purposes of promoting your Local Chapter and recruiting members to your Local Chapter. The sole and ultimate goal of your role, as supported by said materials and advice provided to you by the GEC, is to sell travel and other related services offered by the GEC. As such, you agree that all member and potential member contact information, communication and data (full name, email address(es), phone numbers, mailing address(es), and other pertinent information collected) of any and all GEC members or people who have expressed an interest in the GEC or people contacted by you, whether obtained using GEC marketing materials, from their attending a GEC labeled event and/or communicated to in any way, shape or fashion with intentions of enticing participation in the GEC and/or your Local Chapter, regardless of whether initial contact was made with the individual before signing this agreement or obtained through other marketing efforts, is the exclusive property of the GEC. You agree to provide all contact information to the GEC Directors on a monthly basis and/or immediately upon request. You agree that your failure to do so may, at the GEC’s discretion, result in your immediate dismissal as a Local Chapter Leader and the forfeit of any and all earned credits, earned or unearned. You also agree that your failure to provide any and all data and information as requested and required by the GEC constitutes a direct breach of this contract, the withholding of GEC owned property, the inability of the GEC to market to and sell to members you obtained via marketing, advertising and procedural materials and ideas provided to you by the GEC, is an immediate and direct financial detriment to the GEC, and thus you agree to personally make the GEC financially whole. Limits of Local Chapter Leader While the GEC, as part of the marketing effort, encourages Local Chapter Leaders to organize and lead various social gatherings with local chapter members and perspective members, including Local Chapter meetings and/or get-togethers, these activities are not in any way mandatory, sponsored or endorsed by the GEC. Local Chapter activities can be conducted via email if the Local Chapter Leader wishes. Local Chapter Leaders are independent contractors and agree to sponsor any and all events under their own will and at their own liability. That said, Local Chapter Leaders agree the global and local marketing efforts of the GEC must be maintained to the highest level of quality and agree not to organize any event or design, create, develop or distribute any marketing or advertising without prior approval from the GEC. You agree that material, ideas, or approval of events or marketing materials provide by the GEC in no way implies GEC endorsement, sponsorship, inclusion or liability in Local Chapter Leader events. You agree that you will never organize an event or marketing campaign, however large or small, that is not approved by the GEC. Furthermore, you agree that you cannot and never will organize an activity for a financial gain to you. You agree that the only form of compensation that you can or will receive as a LCL, as defined within these terms and conditions, including the non-compete section, is through trip credits earned on official club sponsored tours. You also agree that you will never enter into any agreement with any 3rd party provider of travel or services on behalf of or using the GEC name in anyway, shape or form, for yours or the GEC’s profit or not, without prior written approval from the GEC, nor will you enter into any agreement with any 3rd party provider of travel or services with any GEC member or prospective member, regardless of whether you do it under the GEC name or not. You agree that the breach of these terms will result in your immediate dismissal from the club, the forfeit of any and all earned credits, earned or unearned, and the immediate forfeit of all earned income that resulted from any association with GEC members or perspective members. Furthermore, you agree that you will not sponsor, arrange or promise any GEC tours or travel of any length to members or perspective members without prior written approval from the GEC. You agree that all club and local chapter travel arrangements will be designed, approved, marketed and sold by the GEC, unless approved in writing and in advance by the GEC for the LCL to arrange and sponsor, in which case the LCL relinquishes the GEC from all liability and responsibility and the LCL assumes all liability, expenses and responsibility, even if the GEC provides marketing support and the use of the GEC name. You agree that the breach of these terms may result in your immediate dismissal from the club and the forfeit of any and all earned credits, earned or unearned, as well as financial liability as defined in these terms and conditions. Removal from the Local Chapter Leader role and/or the club The GEC retains the right to remove or replace any LCL from their role and/or from the entire club for any reason we deem necessary or beneficial to the club. The GEC also retains the right to immediately forfeit LCL credits without compensation if the GEC deems that the LCL violated any of these terms and conditions or acted or threatened to act in a way that is financially, reputationally or otherwise detrimental to the GEC. Ownership, Copyright and Intellectual Property Rights You agree not to distribute and/or disclose any marketing, advertising, policies, procedures, payment structures, copyrights, intellectual property, technical or technological secrets, any details of organizations or business affairs, any names of past or present customers or members of the GEC, including your Local Chapter, or any other information relating to the business or businesses or their affiliates to anyone unless specifically instructed and approved to in writing from the GEC. You agree and accept responsibility that by doing so would cause significant financial damage to the GEC in terms of lost revenue, and reputation and competitive harm that would lead to additional financial harm. Marketing & Advertising The GEC provides you with pre-approved advertising and marketing material for purposes of not only promoting your Local Chapter, but for the purposes of promoting awareness of the club and the overall image of the GEC. As such, any sales promotion, sales material, communication, public relation, and/or any other type of advertising or marketing material you use in promoting the GEC and/or your Local Chapter must always be submitted to us for our prior written approval of each specific item. You agree not to use any such material until after you receive that approval and that any violation of this policy may result in immediate termination of your position as a Local Chapter Leader at our discretion and subject to the termination and non-compete policy herein. Traveling with the GEC In addition to these LCL Terms and Conditions, I agree that I am also joining as a GEC Member and as such I agree in full to the Member Terms and Conditions, which can be found by clicking here. I agree that should I choose to purchase and/or participate on any travel through the GEC, whether paying in full, in travel credits or a combination of both, or even if I do not travel with the GEC, that I have fully read, understand and agree to the Member Terms and Conditions as part of reviewing and agreeing to these LCL Terms and Conditions. I also agree that these LCL Terms and Conditions always apply in full and the Member Terms and Conditions only augment these Terms and Conditions. Applicable Law and Liability These Terms and Conditions, together with any User Agreements incorporated in our website, constitute the entire agreement between us related to the subject matter hereof and supersedes any prior understanding or agreements (written or oral) regarding the subject matter and may not be amended or modified except in writing or by making such amendments or modifications available on the website. This User Agreement and its performance shall be governed by the laws of the State of New Hampshire, United States of America, without regard to its conflict of laws provisions. You agree and submit to the exclusive jurisdiction of the state and federal courts located in the state of New Hampshire, United States of America, in all questions, disagreements and controversy arising out of your use of this site and this User Agreement. You accept and recognize that immediate and irreparable damage will result to the GEC if you breach any of the terms and conditions of this agreement and, accordingly, you hereby consent to the entry of temporary, preliminary, and permanent injunctive relief by any court of competent jurisdiction against you to restrain any such breach in addition to any other remedies or claims for money damages that the GEC may seek; and you agree to render an equitable accounting of all earnings, profits and other benefits arising from such violations; and to pay all costs and counsel fees incurred by the GEC in enforcing this agreement, which rights shall be cumulative. The existence of any claim or cause of action of you may have against the GEC, whether predicated on this agreement or otherwise, shall not constitute a defense to the enforcement by the GEC of this agreement. You recognize and agree that the GEC does not have a remedy at law adequate to protect the rights and interests as set forth in this agreement, and you therefore agree that the GEC shall have the right to an injunction enjoining you from violating the provisions of this agreement. Nothing herein contained shall be construed as prohibiting the GEC from pursuing any other remedies available to the GEC for such breach or threatened breach. If any action at law or equity is necessary to enforce or interpret the terms of this agreement, you agree to pay the GEC reasonable attorney fees, costs, and necessary disbursements, in addition to any other relief and/or damages to which the GEC may be entitled. In the event that a court of competent jurisdiction determines that this agreement is not compete, is unenforceable in whole or in part for any reason, including, without limitation, the duration, scope, and remedies set forth above, then same shall not be void, but rather shall be enforced to the extent that same is deemed to be enforceable by said court, as if originally executed in that form by the parties hereto. Service of all notice under this agreement shall be sufficient if made by registered mail to the specific party involved herein at his or her respective address of record or as such party may provide from time to time in writing. Other Important Information: Any and all information, advice or promises provided orally or in writing to you by any member of Global Expeditions Club or our agents is done solely in good faith, but without responsibility on the part of Global Expeditions Club. These Terms and Conditions are always the final and ultimate rules and supersede any other communication from us or our agents. Global Expeditions Club reserves the right to amend these Terms and Conditions at any time and from time to time without any prior notice.
